1. NATURE AND APPLICABILITY OF TERMS

1.1. The following terms and conditions constitute an Agreement (hereinafter referred to as the “Agreement”) between You and Edumpus Portal LLP (“Edumpus”, “We” or “Us”), the operator of www.edumpus.com (the “Site”) and related applications, services and mobile applications provided by Edumpus (hereinafter when referred collectively called as ‘Edumpus Platforms’). This Agreement shall govern your use of Services (defined below), both as registered and non-registered user.

1.2. By using or otherwise accessing the Services, and/or by registering with Edumpus, you agree to the terms of this Agreement, including the information disclosed hereinbelow, and to be bound by the same. If you do not agree with this Agreement, you should refrain from using the Services. Your access to any of Edumpus’s Platforms is also at the sole discretion of Edumpus.

1.3. Edumpus reserves the right to add, substitute, modify or terminate any service provided by Edumpus from time to time. Such information shall be included in the terms and conditions as and when modified, and the burden is on you to keep yourself updated about such modifications. Your continued use of the Site and/or the Services following such posting shall constitute your affirmative acknowledgement of the Terms of Use or other applicable Agreement document, the modification, and agreement to abide and be bound by the Terms of Use or other applicable Agreement document, as amended.

1.4. It is Your sole burden to keep yourself updated with respect to changes in the Terms of Use and Privacy Policy. If at any time You choose not to accept these terms of use, including following any such modifications hereto, then You must stop accessing Edumpus Platforms and using the Services.

1.5. You agree that Edumpus will not be liable to You or any third party for any suspension or discontinuation of any of the Services or portion thereof.

2. ELIGIBILITY

2.1. You must be of legal age to register on this Platform and to avail the Services. If You do not qualify under these terms, do not use Edumpus Platforms or Services. By using Edumpus Platforms and/or the Services, You represent and warrant that You have the right, authority, and capacity to enter into these Terms of Use and to abide by all of the terms and conditions set forth herein.

2.2. If You are registering an account or using the Services on behalf of an individual or entity other than Yourself, You represent that You are authorized by such individual or entity to accept this Agreement on such individual’s or entity’s behalf.

3. COMPLIANCE WITH LAW

3.1. This Agreement is in compliance with all the relevant Laws, rules and regulations at the time being in force, including but not limited to the Indian Contract Act, 1872; Information Technology Act, 2000; and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Information) Rules, 2011 (hereinafter referred to as the “SPI Rules”), and the Information Technology (Intermediaries Guidelines) Rules, 2011 (hereinafter referred to as the “IG Rules”).

4. DEFINITIONS

4.1. "Applicable Law" means any domestic or foreign law, rule, statute, subordinate legislation, regulation, by-law, order, ordinance, protocol, code, guideline, treaty, policy, notice, direction or judicial, arbitral, administrative, ministerial or departmental judgment, award, decree, treaty, directive, or other requirement or guideline published or in force at any time during the Term which applies to or is otherwise intended to govern or regulate any person (including any Party), property, transaction, activity, event or other matter, including any rule, order, judgment, directive or other requirement or guideline issued by any Governmental or Regulatory Authority;

4.2. “Channel Partner/s” means promoters who will be providing student leads for recruitment of students for taking admission with the Edumpus Partner.

4.3. "Edumpus Partner" means any institution, companies, organisations, associations or individuals that have entered into an agreement with Edumpus to use or promote Edumpus Services, or to enable their employees or Students to use or promote Edumpus Services;

4.4. “User” shall refer to Channel Partners;

4.5. “Services” means all those Services provided on any of the Edumpus Platforms. The Services made available by Edumpus are subject to change at the sole discretion of Edumpus;

4.6. “Our Content” means text, data, graphics, images, photographs, video, audio, information, suggestions, guidance, and other materials provided, made available or otherwise found through the Services or on any of the Edumpus Platforms.

4.7. “User Content” shall include the contents posted by Edumpus on behalf of the User on Edumpus Platforms along with the information provided by the User available for other Users on the Site.

4.8. “Posted Information” shall include all such content, inquiries concerning possible medical needs and such other content used to participate in the other interactive and community features of the Site posted by the User personally or on their profiles.

4.9. “You” may refer to the User as defined above.

4.10. "Students" means students that meet the criteria in these Terms and Conditions who have indicated a desire to become a student of an Edumpus Partner in one of the countries in which Edumpus Partners are located, and each one is a "Student".

4.11. "Territory" means the country of residence of Channel Partner, unless otherwise agreed by Edumpus.

5. PRIVACY POLICY

5.1. In order to register, You must provide certain basic information about Yourself which includes name, sex, phone number, email ID, details of the organization etc. You authorize Edumpus, its employees, consultants, partners and affiliates etc., operating on its behalf to use and/or disclose such information in accordance with relevant Laws.

5.2. Edumpus may disclose or transfer User Content information to its affiliates or governmental authorities in such manner as permitted or required by applicable laws, and You hereby consent to such transfer. If any of the User Content is found in violation of any law for the time being in force, Edumpus will comply with any duly-issued government or court directions to disable access to such User Content and Posted Information.

5.3. When the User provides his/her contact information viz. phone number, e-mail address, facebook user name, Google Plus user name etc. (“Personal Information”), it is implied that Edumpus is permitted to send any communications to them via using such communication portals.

5.4. The Personal Information shared by the User may be used by Edumpus for other marketing purposes such as sending university updates, scholarship information, our web portal updates etc.

5.5. This clause is not exhaustive and is to be read along with the Privacy Policy made available to all the Users on the Edumpus Platforms.

6. RELATIONSHIP

Each Party will perform its obligations hereunder as an independent contractor, and nothing contained in this Agreement will be construed to create or imply a joint venture, partnership, principal agent, or employment relationship between the Parties. Except as expressly authorized by Edumpus in this Agreement, Channel Partner will neither act nor purport to be acting as the legal agent of Edumpus, nor enter into any agreement on behalf of Edumpus or otherwise bind or purport to bind Edumpus in any manner whatsoever. Channel Partner is solely responsible for carrying their own workers’ compensation insurance and any other required and necessary insurance mandated in the jurisdiction(s) in which Channel Partner operates.

7. CONTENT PROVIDED

7.1. Edumpus only publishes information provided by the User at time of the registration or entered by them on entering the Site. The entire information provided by Edumpus is on a “as is” or “as available” basis.

7.2. With relation to the Edumpus Partner, Edumpus will publish details as may be made available to it by Edumpus Partner.

7.3. Edumpus reserves the right to moderate the Posted Information as and when required. Edumpus is not obliged to always act in a manner to give effect to the User’s feedbacks, complaints etc., except as specified under applicable laws in force.

7.4. All Posted Information must comply with Edumpus’s Terms of Use.

7.5. By posting Posted Information through the Services, You agree to and hereby do grant, and You represent and warrant that You have the right to grant, to Edumpus and its contractors an irrevocable, perpetual, royalty-free, fully paid up, worldwide license to use, copy, publicly perform, digitally perform, publicly display, and distribute such Posted Information and to adapt, translate, prepare derivative works of, or incorporate into other works, such Posted Information. This license is non-exclusive, except You agree that Edumpus shall have the exclusive right to use this license to the extent of combining Your Posted Information with the Posted Information of other Edumpus users for purposes of constructing or populating a searchable database of reviews and information related to the education field.

8. RESPONSIBILITIES OF THE USER

8.1. The User shall not host, display, upload, download, modify, publish, transmit, update or share any information that —

  • belongs to another person and to which the User does not have any right to;
  • is grossly harmful, harassing, blasphemous defamatory, obscene, pornographic, pedophilic, libelous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
  • harm minors in any way;
  • infringes any patent, trademark, copyright or other proprietary rights;
  • violates any law for the time being in force;
  • deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
  • impersonate another person;
  • contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
  • threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation
  • violates or attempts to violate the integrity of the security of the Edumpus Platforms

8.2. User shall not use any of Edumpus Platforms apart from the reasons provided for.

8.3. User shall not intentionally furnish any incomplete, false or inaccurate information.

8.4. User shall not make any unsolicited communications to other Users.

8.5. User shall not misuse the contents provided on the Site.

9. TERM

Subject to early termination or expiry of this Agreement: (a) the term of this Agreement will be 12 months from the date that Channel Partner agrees to this Agreement through the Edumpus Site (the "Initial Term"); (b) the Initial Term will automatically renew for subsequent 12-month terms on the anniversary of this Agreement (each, a "Renewal Term"), subject to payment of necessary fees.

10. OBLIGATIONS OF THE USER

Subject to the restrictions in these Terms and Conditions, Edumpus hereby engages Channel Partner, on a non-exclusive basis, in the Territory, to be Edumpus’s representative during the Term and to perform the following services (the "Recruitment Services"):

a) Promote Edumpus Partners and its programs, to institutions, families and Students at seminars, fairs, meetings, through Channel Partner’s website and other media prepared by Channel Partner, and any other appropriate opportunities, in each case, with integrity and accuracy;

b) Meticulously screen student's’ eligibility, capacity to pursue the desired program, pay fees and meet other expenditures, etc., and accordingly suggest the most appropriate program.

c) Before the Student completes an application with Edumpus Partner, ensure that the Students are given accurate information about:

  • Edumpus Partners and their facilities, equipment and resources;
  • The programs at the Edumpus Partners;
  • The Edumpus Partners’ relevant tuition fees and refund requirements;
  • Living information about campus location and costs of living;
  • The minimum level of language ability, educational qualifications and work experience required for acceptance into a program;
  • Visa requirements to be satisfied by the Students.

d) Ensure that the documents collected from candidates uploaded through the portal are legitimate, legible and in an orderly format with attestation/notarization wherever necessary. The documents must be carefully, and thoroughly vetted; clear and good quality scans of the original documents. Student information form and the authorization form in the portal must be filled and submitted and below listed documents must be uploaded in the portal before processing an application.

  • Passport (Scanned Copy)
  • Academic Transcripts (scanned Copy)
  • IELTS Certificate (Scanned Copy)
  • LOR/Reference Letters
  • SOP/Personal Statement (must be an original- written by the student).

e) Provide to Edumpus the prescribed application forms of the concerned institution duly completed in all respects using the desired format and fonts, with signature(s) of the applicant wherever necessary and all the required documents, much ahead of the stipulated deadline of the institution;

f) Ensure that Students submit complete applications for Programs, and all required supporting documentation, on or before the deadlines set by Edumpus;

g) Arrange for Students to take any relevant academic and language tests, and ensure such testing is performed with integrity and by qualified institutions;

h) It is within the duties of the Channel Partner to ensure that the files and documents provided or submitted are original and not plagiarized versions. If at any point, one or more files are found to be plagiarized, fake or something of that nature, the agreement may be terminated with immediate effect with no further obligations from the Edumpus;

i) It is within the duties of Channel Partner to ensure that the students fee remittance (application fee, tuition fee, caution fee, Service fee or any other fee set by the Edumpus Partner Institutions), through the recommended channels of Edumpus Partner Institution only.

j) All the personal data of prospective Students must be handled by the Channel Partner with regard to applicable laws;

k) It is the duty of the Channel Partner to ensure that all prospective students understand and accept the Privacy Policy, data protection, and terms of service of Edumpus before getting onboard with Edumpus and Channel Partner.

l) Provide any offer documents received from Edumpus to the Student within five days of receiving such offer documents;

m) Channel Partner shall timely communicate to Edumpus any changes in program, institution preference, personal details etc of candidates.

n) If a Student’s visa application is refused, advise the Student that he or she is entitled to a refund of the Student’s fees and obtain an address (not Channel Partner’s address) from such Student and forward such address to Edumpus to enable Edumpus to process the refund (the actual amount of a refund paid by an Edumpus Partner is not controlled by Edumpus and is subject to each of the Edumpus Partner’s policies).

o) Perform such other services and provide such reports or information as requested by Edumpus, including tuition deposit receipts, copies of visas and any other information requested by Edumpus;

p) Report to Edumpus on Student activity and provide Edumpus with market insights regarding the recruitment of Students in the Territory;

q) Be fully responsible for all acts of Channel Partner’s sub-agents or designees;

r) Support Edumpus’s representatives, where required, to finalize Students’ registrations for the Programs;

s) Ensure satisfactory dealing at all levels, and in case of unforeseen disputes over any dealing with students/institutions, resolve it on high priority to safeguard students’ genuine interests and well-being;

t) Channel Partner and their authorized employee(s) shall learn and understand the policies, rules and regulations with regard to the studies of students in the concerned country, international student’s rights during/after studies, work rights, career opportunities, etc. (which are subject to change from time to time). For this purpose, they may refer to all available resources including Edumpus portal and web site, and the official website of concerned institution/government/embassy of the concerned country and promptly communicate the information to the Students, and in turn increase the success rate of admission, visa and successful enrollment of the candidate to the Institution.

u) Ensure that their students must be applying to the University for the first time (duplicate applications from a student cannot be processed to the same university again).

v) Multiple program choice is enabled so as to increase the success rate for mutual benefits. However, as the efforts and time of all concerned are equally valuable and this association aims at maintaining good relationship with the overseas institutions, the Channel Partner shall strive to maintain a ratio of at least 2:1 - acceptance at least 1 out of every 2 offer letters obtained for their students - and ensure that the students pay the specified tuition fees on time.

11. RESPONSIBILITIES OF EDUMPUS

The following are the responsibilities of Edumpus:

i. Edumpus responsibility is limited to reviewing the applicant’s eligibility criteria, initiating procedures for getting a conditional/unconditional offer letter from the concerned institution and forwarding the same to Channel Partner immediately on receipt;

ii. Duly process all completed applications received (but is under no obligation to accept any Students referred by Channel Partner;

iii. Monitor and evaluate the activities of Channel Partner, including performing regular face-to-face meetings, telephone correspondence, requesting reports detailing Student recruitment processes, progress and outcomes, in addition to requesting information regarding Channel Partner’s activities via Student and parent feedback;

iv. Provide Channel Partner with sufficient information and online marketing material regarding the Edumpus Partners and their Programs to enable Channel Partner to conduct the Services;

v. Edumpus may provide assistance for meeting the post-landing needs of students upon request through Edumpus partners. In such cases, Edumpus will try its best to support through the international career cell of the concerned institution or third party abroad. This assistance is generally offered for a cost by Edumpus/Edumpus Partners subject to certain terms and conditions as may be agreed between the Parties.

vi. Edumpus will advise on the visa documentation and Edumpus will not take responsibility of visa rejection in any manner.

12. CONFIDENTIALITY CLAUSE

12.1. Edumpus does not guarantee the confidentiality of any communications made by Channel Partner through the Edumpus Portal or over the internet. Although Edumpus generally adheres to the accepted industry practices in securing the transmission of data to, from and through the Edumpus Portal, Channel Partner understands, agrees and acknowledges that Edumpus cannot and does not guarantee the security of data transmitted over the Internet or public networks in connection with Channel Partner’s use of the Edumpus Portal.

12.2. The data of Channel Partner’s candidates stored in Edumpus portal is only be used for admission process i.e.to obtain conditional/offer letters and unconditional/confirmed letter of admission.

12.3. The Channel Partner, on their behalf and on behalf of their authorized employees undertakes not to disclose or share the login credentials and information accessed through Edumpus portal to any third party and keeps them all in strict confidence.

12.4. Both parties are to refrain from engaging in or divulging any information contained in this agreement or about the business and its related data with any third party or with their employees without the written consent of the other party.

12.5. The Channel Partner agrees that should it disclose this information, wittingly or unwittingly to third parties it will be held legally liable under the law, or the relevant jurisdiction, for any damages that Edumpus suffers or may suffer as a result of such breach. The Channel Partner indemnifies Edumpus for any breach of these conditions by the Channel Partner.

12.6. The Edumpus Portal may provide links to third party websites, including those of Edumpus Partners. Edumpus does not endorse the information contained on those web sites or guarantee their quality, accuracy, reliability, completeness, currency, timeliness, non-infringement, merchantability or fitness for any purpose. The content of any linked web site is not under Edumpus’s control, and if Channel Partner choose to access any such website, Channel Partner does so entirely at Channel Partner’s own risk.

13. DISCLAIMER OF WARRANTIES

13.1. Edumpus makes no guarantees, representations or warranties, whether expressed or implied, with respect to professional qualifications, expertise, quality of work, price or cost information, or accuracy, reliability of other content provided through the Services.

13.2. In no event shall Edumpus be liable to You or anyone else for any decision made or action taken by You in reliance on any such content. Furthermore, Edumpus does not in any way endorse or recommend any Edumpus Partner listed or accessible through the Services. The Channel Partner shall make independent decision while guiding the Students;

13.3. The content that You obtain or receive from Edumpus, and its employees, contractors, partners, sponsors, advertisers, licensors, affiliates or otherwise through the Services is for information, schedule and payment purposes only.

13.4. Your use or reliance of Our Content is solely at your own risk.

13.5. Except as specifically mentioned Edumpus make no warranties about the information systems, software and functions made accessible through the Services or any other security associated with the transmission of sensitive information.

13.6. Edumpus does not warrant that the Site or the Services will operate error-free, bug-free or free from defects, that loss of data will not occur, or that the services, software or site are free of computer viruses, contaminants or other harmful items.

13.7. The links to Sites of third parties or affiliates is not under the control of Edumpus and we are not liable or responsible for content, accuracy, validity, reliability, quality of such websites or made available through such sites. Edumpus in no way endorses any such links and it is the Users discretion to use such links at all time.

13.8. Edumpus shall not be liable for any breach of Terms of Use by the User in any way.

14. DISCLAIMER AND SUGGESTIONS

14.1. Edumpus is not liable for any liabilities arising out of the User’s reliance on the Services, content provided on Edumpus Platforms to the fullest extent permitted by law.

14.2. Edumpus has no control over the User Content including the Posted Information (including but not limited to feedbacks) except as provided under law and thus are not liable for what content You access, its effect on You and how You interpret the content available on the site or what actions You may take as a result of having been exposed to the content on the Site and/or the Services. You release us from all liability for You having acquired or not acquired content through Edumpus Platforms.

14.3. Edumpus will not be responsible for any consequences from the Edumpus Partner to Channel Partner’s Students if he/she withdraws CAS without genuine and convincing reasons.

14.4. Edumpus will not be responsible for the changes from the Government terms and Immigration policies. Edumpus will share information based on the available and genuine information, which may or may not be accurate. It is Channel Partner’s responsibility to verify the information shared by Edumpus.

15. CHANNEL PARTNER’S EXPENSES

15.1. The Channel Partner will be solely responsible for all expenses incurred as a direct or indirect result of the performance of its obligations, including expenses for advertising, promotional activities, travelling to roadshows, and meeting Students. The Channel Partner will not be entitled to reimbursement of such expenses by Edumpus, unless the Parties otherwise expressly agree in writing.

15.2. The Channel Partner will pay, at its expense, all applicable federal, provincial and local taxes under Applicable Law for any income or amounts received from Edumpus.

16. CONSIDERATION

16.1. The Channel Partner shall be eligible for a revenue share from the actual commission received by Edumpus from Edumpus Partners after enrolment of the particular candidate of the Channel Partner. This may communcate time to time. The commission payable will be inclusive of any applicable government taxes.

16.2. In case no commission is receivable from Edumpus Partner, Channel Partner shall make sure that the applicable service fee is collected from the candidate and remitted to Edumpus immediately. The agreed service fee payable to Edumpus shall be exclusive of any applicable government taxes. Details of zero benefit institutions will be provided to Channel Partner on case to case basis.

16.3. Channel Partner acknowledges that the actual commission paid could be higher or lower than the estimate shown on the dashboard.

16.4. The agreed revenue share will be applicable for admissions to institutions located in all countries except the Europe and the countries offering Medicine programs. Details of revenue shares for above will be communicated separately on case to case basis.

16.5. The agreed revenue share is payable only if the Channel Partner meets all the conditions mentioned under Terms & Conditions of this agreement.

16.6. In certain cases, in addition to the above commission, Edumpus may announce special offers for certain institutions/programs/in-take season, details of which will be available to the Channel Partner through the portal or email.

16.7. If a University doesn't pay commission on a Student for some reason, Edumpus shall contest the decision and receive payment. However, the Channel Partner acknowledges and accepts that they will only receive payment/commission for students processed for whom Edumpus is paid by the University. Edumpus cannot be held liable in situations where a University doesn't pay the commission or an error results in non-payment. Should there be an overpayment made from Edumpus to Channel Partner, then Edumpus shall adjust the excess amount from future payments.

16.8. All applications for Edumpus submitted by Channel Partner on behalf of a Student will be subject to acceptance by Edumpus. Edumpus reserves the right to accept or reject any application, order or request in its sole discretion.

16.9. The prices and other terms of sale of the Edumpus Services will be determined solely by Edumpus.

16.10. Channel Partner has no authority to negotiate or finalize sales on behalf of Edumpus (except in case-by case situations where such authority is expressly granted by Edumpus in writing in advance), or to accept any cancellation of orders or applications or otherwise represent Edumpus except as specifically described in this Agreement.

16.11. Subject to Channel Partner’s compliance with the terms of this Agreement, Channel Partner will receive the commission 30 days after Edumpus receives the funds from the Edumpus Partner when the Student has landed in respective countries, as applicable and successfully begins their education in the selected Program and attend the minimum number of classes prescribed by the Edumpus Partner.

16.12. If a Student withdraws or is withdrawn from a Program before paying tuition in full, or if as a result of a Student’s withdrawal, Edumpus or an Edumpus Partner is required to refund all or a portion of the Student’s paid tuition, Channel Partner will refund to Edumpus any Commission paid to Channel Partner pro rata based on the amount of paid tuition refunded. The actual amount of a refund paid by an Edumpus Partner is not controlled by Edumpus and is subject to each of the Edumpus Partner’s policies.

16.13. For Students receiving a reduced tuition rate due to an awarded scholarship or Students receiving a reduced tuition rate in the form of a Program waiver, Channel Partner will receive Commission based on the decreased tuition amount.

16.14. For Students who elect to pay according to a payment plan, Channel Partner will receive Commission calculated based on the amount actually paid by the Student at the time the Commission is paid to Channel Partner.

16.15. Channel Partner understands that it will not be paid Commission if fraudulent documents are submitted to Edumpus on behalf of a Student

16.16. To receive Commission, Channel Partner must submit an invoice (template can be available at dashboard) and must be with the details of Students on the invoice, including Student ID issued by Edumpus, University/ institutions name and the current Program of the Student along with complete bank and company details.

17. COMMUNICATION: STUDENTS AND UNIVERSITIES

17.1. Edumpus will interact directly with the students of Channel Partner hence Channel Partner shall ensure to provide current informations of students to communicate/obtain required details/documents from time to time based on feedback received from Edumpus Partner.

17.2. Communications and coordination are limited between Edumpus and the students, shall be through authorized team members of both on all issues pertaining to the candidates’ applications, pending documents, finance, etc., which shall be through the Edumpus dashboard, and email. Edumpus will be coordinate with its Channel Partners in case further followup required from its Channel Partners to the students.

17.3. The responsibility to communicate with institutions on all matters related to Offer Letters and updating the Channel Partner of the progress of applications lies with Edumpus and hence the Channel Partner is relieved of playing any role in this regard.

18. NON-COMPETITION AND NON-SOLICITATION

18.1. During the Term and for a period of one year after the termination or expiry of this Agreement, in the countries in which the Channel Partner has performed its services, Channel Partner agrees that it will not (whether directly or indirectly, individually or in partnership or jointly or in conjunction with or for the benefit of any person):

  • solicit (which term will include the acts of soliciting, recruiting, inducing, hire, or attempting to influence) any Edumpus Partner to use products or services that directly compete with the Edumpus Services (unless Channel Partner obtains express prior written consent from Edumpus permitting the Channel Partner to sell, promote the sale of, advertise, or accept orders for such competing products, which consent may relate to specific Edumpus Partners or to all Edumpus Partners); or
  • solicit (which term will include the acts of soliciting, hire, recruiting, inducing or attempting to influence) any employee of Edumpus to leave the employ of Edumpus.

18.2. The Channel Partner acknowledges that a breach of this Section will cause irreparable harm to Edumpus, and that Edumpus is therefore entitled to a permanent and interlocutory injunction prohibiting the Channel Partner from engaging in such activity upon reasonable apprehension of such breach.

18.3. In case of any such breaches, Edumpus reserves the right to withhold any payment to the channel partner.

19. TERMINATION

19.1. Edumpus reserves the right to suspend or terminate a User’s access to any of Edumpus’s Platforms with or without notice and to exercise any other remedy available under law, in cases where:

  • the User has committed breach of any Terms of Use under this Agreement.
  • Edumpus is not able to verify the authenticity of information provided the User.
  • the Channel partner recruit or hire any staff or employees of Edumpus during the period of agreement.
  • Edumpus receives complaints from third parties against the User.
  • Edumpus has reasonable grounds for suspecting any illegal, fraudulent or abusive activity on part of the User.
  • any forged documentation and proxy interviews were conducted by channel partner.
  • The action of the User is contrary to the law in force

19.2. Upon termination, Edumpus reserves the right to determine if it shall temporarily or permanently disable the Users profile. It is at the discretion of Edumpus that the user may be allowed to re-register or allowed to use the same account.

19.3. Further, after termination of this agreement, the channel partner shall not solicit or hire employees of Edumpus for a period of one year from the termination of this Agreement.

20. INDEMNITY

20.1. User agrees to indemnify and hold harmless Edumpus, its affiliates, officers, directors, employees, consultants, licensors, agents, and representatives from any and all third party claims, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) arising from User’s access to or use of Service, violation of this Agreement, or infringement, or infringement by any other User of his/her/its account, of any intellectual property or other right of any person or entity. Edumpus will notify You promptly of any such claim, loss, liability, or demand, and in addition to Your foregoing obligations, You agree to provide us with reasonable assistance, at Your expense, in defending any such claim, loss, liability, damage, or cost.

20.2. In no event, including but not limited to negligence, shall Edumpus, or any of its directors, officers, employees, agents or content or service providers be liable for any direct, indirect, special, incidental, consequential, exemplary or punitive damages arising from, or directly or indirectly related to, the use of, or the inability to use, the Site or the content, materials and functions related thereto, the Services, User’s provision of information via the Website, lost business or lost Users, even if Edumpus was advised of the possibility of such damages.

20.3. In no event shall the total aggregate liability of Edumpus to a User for all damages, losses, and causes of action (whether in contract or tort, including, but not limited to, negligence or otherwise) arising from this Agreement or a User’s use of the Edumpus Platform or Services exceed, in the aggregate Rs. 1000/- (Rupees One Thousand Only).

21. ASSIGNMENT

21.1. Edumpus may assign this contract at any time, including without limitation to any parent, subsidiary, or any affiliated company, or as part of the sale to, merger with, or other transfer of our company to another entity.

21.2. You may not assign, transfer or sublicense this Agreement to anyone else and any attempt to do so in violation of this section shall be null and void.

22. WAIVER

No relaxation, forbearance or delay by Edumpus in enforcing or exercising any of the terms of this Agreement shall prejudice, affect or restrict the rights of Edumpus, nor shall constitute a waiver by Edumpus of any breach hereof operate as a waiver of any subsequent or continuing breach of any terms or conditions of this Agreement, unless in writing.

23. SEVERABILITY

In the event that any provision, covenant or restriction contained in this Agreement is declared by any judicial or other competent authority to be invalid, void, voidable, illegal or otherwise unenforceable or indications of the same are received by either of the parties from any, relevant competent authority, the rest of the terms, provisions, covenants and restrictions set forth herein shall remain in full force and effect and shall in no way be affected, impaired or invalidated, and the Parties hereto are at the liberty to amend that provision, covenant or restriction in such reasonable manner as to achieve the intention of the Parties without illegality, or at the discretion of the Parties, such provision may be severed from this Agreement. Such a provision shall be deemed to have been in existence from the date of execution of this Agreement and the remaining provisions of this agreement will remain in full force and effect unless the Parties decide that the effect of such declaration is to defeat the original intention of the Parties.

24. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement and understanding between the Parties in respect of Confidential Information and supersedes all previous agreements, understandings and undertakings thereof, if any.

25. SUPPLEMENTARY AGREEMENT

The Parties acknowledge that this Agreement is to be read along with the Privacy Policy, or such other contract entered into between them. In case of any conflict, the provisions of this Agreement shall subsist and supersede over all such conflicting provisions of the other/ supplementary agreement.

26. AMENDMENTS

The Parties acknowledge that Edumpus reserves the right to Amend any clause in this Agreement and such updates/amendments will be brought to the notice of Channel Partner through notification. It shall be the responsibility of the Channel Partner to check the agreement from time to time upon receiving such notification from Edumpus and if any concern, the same shall be immediately communicated to Edumpus.

27. HEADINGS

The headings contained in this Agreement are for reference and convenience purposes only and shall not be solely taken into account for the purpose of interpreting any clauses or provisions that they relate to. They do not form a part hereof, and in no way limit, define, describe, modify, interpret or construe the meaning, scope or intent of this Agreement or any terms or conditions therein.

28. ARBITRATION

Any disputes or differences arising between the Parties with regard to any term of this Agreement may be referred to a sole arbitrator. The award given by the arbitrator shall be final and binding on the Parties. The arbitrator shall be appointed by Edumpus. The place and venue of arbitration shall be Bengaluru. The Arbitration shall be held in English language. The provisions of the Arbitration and Conciliation Act, 1996 shall apply to the arbitration proceedings. The dispute pertaining to the validity or execution of this Agreement and the dispute in respect of jurisdiction shall also be adjudicated by the Sole Arbitrator.

29. APPLICABLE LAW AND JURISDICTION

This Agreement shall be governed and construed in all aspects in accordance with the laws of India and in accordance with the laws of India. The courts at Bengaluru shall have exclusive jurisdiction in respect of this Agreement, your use of the Website or the Services or the information to which it gives access. Any use outside of India is at the users own risk and users are responsible for compliance with any local laws applicable to their use of the Services or the Site.

30. GRIEVANCE OFFICER

i. All grievances are to be addressed to Edumpus at partnercare@edumpus.com by an affected person in writing or through email signed with electronic signature about any such information.

ii. All grievances addressed to Edumpus after due diligence would be acted upon as per the provisions of applicable laws.
